1. Definitions and Agreement
1.1 In these Terms and Conditions “JSE e-Campus” refers to the Jamaica Stock Exchange Limited e-Campus and any reference to the term “ Platform” means the internet based platform utilized by the Jamaica Stock Exchange e-Campus (“JSE e-Campus”) to facilitate delivery of programs, courses and their contents to users.
1.2 These Terms and Conditions constitute a legal and binding agreement between the user (herein referred to as “you”, “your” and “the user”) and the JSE e-Campus (herein referred to as “we”, “us” and “our”) and shall govern the rights and obligations of the user and the JSE e-Campus in respect of the use of the Platform.
2. Acceptance
i. These Terms and Conditions are concluded between the parties upon use of the Platform for the purposes set out in Section 1 of the JSE e-Campus Privacy and Security Policy found on the JSE e-Campus Platform. By using the Platform, you agree to these Terms and Conditions.
ii. We reserve the right to amend or unilaterally change any of the terms and conditions of this agreement subject to at least fifteen (15) days prior notification of any such amendment or change being posted on this Platform. Use of the Platform subsequent to the posting of notification of amendments or change shall be deemed acceptance.
3. Registration
i. Users desirous of registering for a course shall be required to supply the JSE eCampus with all mandatory information requested in the respective registration section(s) of the Platform, from time to time.
ii. The user shall formulate a unique username and password to use this Platform.
iii. The user agrees to keep his or her username and password secret and protected at all times.
iv. The user shall always log out of the Platform after each use.
4. Password use/User’s Authorization
i. The user shall be responsible for any use of his or her password. The user hereby acknowledges that use of his or her username and/or password is the user’s authorization for the purposes of any activity conducted on the Platform. The user shall be responsible for any result arising out of any use of his or her password. We shall not be held liable under any circumstances for any actions taken on unauthorized instructions.
ii. Users shall make a report of any suspicious or unauthorized activity on his or her account using the information provided in the contact us section of the Platform.
5. No Liability for Errors in Registration Information Submitted by User
i. the JSE e-Campus is not liable for any inaccuracies in information submitted by user; and
ii. the JSE e-Campus, its directors, officers, employees and/or agents will not be liable for any losses, damages, or other claims arising out of any failure of any user, howsoever caused, to register for a course.
6. No Liability for use of Platform
The user understands and agrees that:
i. the JSE e-Campus, its directors, officers, employees and/or agents will not be liable for any losses, damages, or other claims arising out of the Platform or its use (including but not limited to any losses, damages, or other claims related to a failure of the Platform to display, deliver, transmit, transfer any data or information, execute, complete or otherwise process any entry into the Platform) save and except where such failure or malfunction of the Platform is as a result of the gross negligence or intentional misconduct of the JSE e-Campus, it employees or agents.
7. No Liability for use of Platform
i. The user understands and agrees to be bound by the terms and conditions of the JSE e-Campus’ refund policy contained in the JSE e-Campus’ application form.
ii. in the event that a credit or debit card has been used by someone other than the legal owner of the card, the legal owner of the card has the responsibility of escalating the issue to its financial institution or any relevant authority.
9. Use of the Internet and the Platform
9.1 Use of the Platform
Your use of the Platform is at your own risk. However, the JSE e-Campus warrants that it has instituted industry standard security measures to secure the Platform against unauthorized access.
9.2 Acceptable Use
i. We may make reasonable requests of the user from time to time to comply with security and auditing standards (including requiring the user to change his or her password) and users agree to comply with such requirements;
ii. Users acknowledge and agree to comply with all applicable laws and regulations with respect to online conduct and use of the Platform in the country which: the user resides or is a national; the user may access or accesses the Platform; or which has jurisdiction over the user. The user agrees to indemnify the JSE e-Campus, its directors, officers, employees or agents for any breach of such laws and/or regulations;
iii. Users agree that their use of the Platform shall not:
a. in any way circumvent, disable, impair, obstruct, overload, cause degradation or damage or any other breakdown of any of the JSE eCampus’ Systems or interfere with any other party’s use and enjoyment of the Platform.
b. be used to gain or attempt to gain unauthorized access to: users information; or areas of the Platform restricted from the user; or any of JSE e-Campus’ Systems; or any computer systems, server(s) or networks or any other systems connected to any of JSE e-Campus’ Systems through any means whatsoever.
be used to disseminate or publish any unsolicited or unauthorized advertising or any form of solicitation.
9.3 Access to the Platform
i. We reserve the right to terminate your access to the Platform, with or without cause or for any action that the JSE e-Campus determines is inappropriate or disruptive to the Platform or any other user of the Platform;
ii. The JSE e-Campus reserves the right, in its sole discretion, to monitor any and all use of the Platform.
9.4 The Internet
Users shall bear the risk of their use of the internet and under no circumstances shall JSE e-Campus be liable for any loss, harm or damage suffered by users as a result thereof.
9.5 Third Party Providers and Third Party Links
9.5.1 We may use the services of third parties (who the JSE e-Campus in its sole discretion selects) to provide the Platform and/to support the Platform;
9.5.2 Third parties information (who the JSE e-Campus in its sole discretion selects) may be displayed on the Platform from time to time. We have no control over this information and make no endorsements, representations or warranties of any nature as to the accuracy, timeliness, appropriateness or correctness of such information. Users agree that such information is provided "as is" and we shall not be directly or indirectly liable for any damages that may arise from users’ reliance on such information.
9.5.3 External hyperlinks may be provided for convenience. These web pages are beyond our control and no representation or endorsement is made as to their content.
9.5.4 No user shall be entitled to link a website or any web pages to the Platform without the prior written consent of JSE e-Campus.
10. User Personal Information
JSE e-Campus shall take all reasonable steps to comply with any applicable data protection legislation.
11. Disclosure of Information
Users acknowledge that:
i. Users’ information entered into the Platform may be shared with third parties as required for the purpose of providing the Platform;
ii. The JSE e-Campus may be required to disclose information to legal and regulatory authorities if requested to do so by any legally valid order or request.
12. Indemnity
You agree to indemnify and hold harmless the JSE e-Campus and its directors, officers, agents, and employees from and against any and all claims, demands, costs, damages and or penalties arising out of any failure by you or any agent acting on your behalf to fully observe these Terms and Conditions or by reason of any access, use by you or such agent of the Platform and its contents.
13. Intellectual Property
i. The Platform, all rights, title and interest in the Platform and the contents of the Platform including but not limited to the graphics, photographs, images, video, audio, appearance of the Platform, the logos and marks and any another data or information contained on the Platform are the sole and exclusive property of the JSE e-Campus, its licensors and/or consenting third parties.
ii. Nothing contained on the Platform should be construed as granting any licence or right to use any trademark without the written permission of the JSE e-Campus and/or such third parties.
13. Intellectual Property
i. The Platform, all rights, title and interest in the Platform and the contents of the Platform including but not limited to the graphics, photographs, images, video, audio, appearance of the Platform, the logos and marks and any another data or information contained on the Platform are the sole and exclusive property of the JSE e-Campus, its licensors and/or consenting third parties.
ii. Nothing contained on the Platform should be construed as granting any licence or right to use any trademark without the written permission of the JSE e-Campus and/or such third parties.
14. No Warranties or Representations
The Platform is provided "as is" and the JSE e-Campus makes no express or implied representations or warranties with regard thereto. The JSE e-Campus will take reasonable precautions to minimize the risk of viruses and security threats The Platform is provided "as is" and the JSE e-Campus makes no express or implied representations or warranties with regard thereto. a. The JSE e-Campus does not warrant that the Platform will be free from any viruses, security threats or that it will be error-free or will meet any particular criteria of accuracy, completeness or reliability of information, performance or quality.
b. The JSE e-Campus expressly disclaims all implied warranties, including, without limitation, warranties of merchantability, title, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.
15. Limitation of Liability
In no event will the JSE e-Campus or any of its directors, officers, employees or agents be liable for any damages including without limitation direct or indirect, special, incidental, consequential or punitive damages arising out of or relating to: the failure of JSE e-Campus’ Systems, the use of the Platform, any failure of performance, error, omission, interruption, defect, computer virus, security threats, unlawful access, delay in operation or any other breakdown of the Platform or third party services even if the JSE e-Campus is advised of the possibility of such damages.
16. Jurisdiction
This Agreement is subject to and shall be governed by the laws of Jamaica.
